CONSTITUTION AND BYLAWS
OF THE
PENINSULA SALT WATER SPORT FISHERMAN'S ASSOCIATION, INC

 

ARTICLE NO. 1- THE NAME

Section No. 1

The name of this organization shall be "THE PENINSULA SALT WATER SPORT FISHERMAN'S ASSOCIATION, INC."

ARTICLE NO. 2 - THE OBJECTIVES

Section No. 1

The object of this organization shall be the promotion of legislation, customs and practices for the protection, propagation and conservation of saltwater fish as a source of pleasure to the great number of citizens whose principal recreation is fishing.

ARTICLE NO. 3 - ORGANIZATION

Section No. 1

The leaders of this Association shall consist of six (6) officers plus a minimum of twelve (12) board members. The officers are president, vice-president, secretary, treasurer, corresponding secretary, and immediate past president. These officers and board members shall be elected by the membership at the annual meeting of the association in November. The officers shall be elected for a term of one (1) calendar year. The past president will automatically remain a member of the board of directors for one (1) year or until there is a successor to the past president. Board members shall be elected for a term of three (3) calendar years. Four (4) board members shall be elected each year, thereby staggering the replacement of board members. If an officer or board member terminates before completion of his (her) term, a member of the Association shall be selected by the board of directors to fill the remaining term.

Section No.2

PRESIDENT: It shall be the duty of the president to preside at all meetings of the Association and the board of directors. He shall appoint all committees subject to the approval of the board of directors. The president shall have no vote except in case of a tie, in which he shall cast the deciding vote.

Section No. 3

VICE-PRESIDENT: In the absence of the president, the vice-president shall preside and perform all the duties of the president. In the absence of the vice-president, the board of directors shall appoint a president-pro tem. The vice-president shall be responsible for conducting the annual association fishing contest and presentation of awards. The vice-president shall inform the treasurer of monthly award winners.

Section No. 4

SECRETARY: It shall be the duty of the secretary to keep a complete record of all proceedings of the Association's meetings and other duties as directed by the president.

Section No. 5

TREASURER: The treasurer shall maintain all funds of the Association, keeping an accurate account subject to inspection by the board of directors. He shall make a report of the financial standing of the Association at every regular meeting. He shall pay no money except on authorization by the board of directors. He shall inform the membership chairman monthly about new members, delinquent dues, and terminations. The financial account shall be audited annually by representatives of the Association as elected by the board of directors.

Section No. 6

CORRESPONDING SECRETARY: It shall be the duty of the corresponding secretary to prepare and submit correspondence on behalf of the Association as directed by the board of directors and maintain file copies of such as a permanent record.

ARTICLE NO. 4 - DIRECTORS

Section No. 1

The board of directors is defined as the six (6) officers of the Association plus a minimum of twelve (12) board members.

Section No. 2

The board of directors shall have complete charge of all business, financial and otherwise, of the Association. They shall approve all accounts payable and order them paid by the treasurer. Each board member shall chair at least one committee as directed by the board of directors.

Section No. 3

The board of directors shall have the power to forfeit or suspend the membership of any member for any conduct, which, in their judgement, endangers the good order, or character of the Association. The member shall be represented before the board of directors. They shall also have the power to limit the numerical membership of the Association at their discretion.

Section No. 4

Any member who disagrees with the action(s) of the board, or a member of the board, may forward the disagreement in writing to the president of the Association for review and/or action.

ARTICLE NO. 5 - MEMBERSHIP

Section No. 1

A person may join by applying and paying one calendar year dues. Application and dues shall be presented to the membership chairperson or his representative.

Section No. 2

Membership under Section No. 1 of Article No. 5 includes an unmarried adult and any dependent or the head of any family, his or her spouse and any dependent. An unmarried member may invite one friend to any Association function at the same fee as for a spouse or dependent.

Section No. 3

The board of directors may designate HONORARY MEMBERSHIPS and/or put on the MAILING LISTS any person or organization that they may deem worthy or necessary. This list shall be reviewed in the first board meeting after the new officers take office.

ARTICLE NO. 6 - DUES

Section No. 1

The calendar year dues to this Association shall be payable in advance and shall be due and payable on the first of January of each year. The dues are $30.00 per year for membership. Membership includes those persons in Article No. 5, Section No. 2 above.

Section No. 2

All members whose dues are in arrears three (3) months may be dropped from the roll and active participation in the Association at the discretion of the board of directors. Membership dues shall be paid prior to the member being eligible to participate in any club activity, "membership only" tournaments and monthly fish awards.

ARTICLE NO. 7 - MEETINGS

Section No. 1

The annual business meeting of this Association shall be held in November of each year. The election of officers and board members shall be held at this meeting.

Section No. 2

Special business meetings may be held any time at the call of the president or upon written request from at least twelve (12) members in good standing. Only such matters as may be designated in the call shall be considered at any special business meeting.

Section No. 3

All regular meetings shall be held on the date as specified by the president. The first meeting of the year is the previous seasons’ annual awards banquet in February as defined in ARTICLE NO. 7 MEETINGS, Section No. 5 below. Regular Association meetings will be held in March, April, May, June, July, August, September, October, November and December.

Section No. 4

Board meetings may be held any time at the call of the president, but there must be at least four (4) meetings annually. At least twelve (12) members of the board of directors must be present for the Association to legally conduct business. Board meetings shall be open to the general membership of the Association.

Section No. 5

An annual awards banquet will be held in February. The banquet date, place and fee will be determined by the board of directors. All members during the previous season are invited.

ARTICLE NO. 8 - AMENDMENTS

Section No. I

These bylaws may be amended at any regular or special meeting of the Association, provided advanced notice is given to the membership as to the proposed change.

The 6/19/01 revision included: 1) incorporation, 2) the number of board members from 12 to a minimum of 12, 3) quorum from 10 to 12 for board of directors meeting, 4) dues to one fee of $30 with unmarried members’ guest fee the same as the member, 5) an additional club meeting in December, and 6) addition of Awards Banquet discussion.
